Website Use Agreement
This Company Internet Website Agreement (the "Agreement") is between you and Proofspace, Inc. (the "Company"). USE OF THE COMPANY INTERNET WEBSITE (THE "COMPANY WEBSITE") SIGNIFIES YOUR AGREEMENT TO THE TERMS AND CONDITIONS OF USE SET FORTH BELOW IN THE AGREEMENT:

1. Company reserves the right, at its sole discretion, to change, modify, add or remove any portion of this Agreement, in whole or in part, at any time.

2. The contents of the Company Website are only for your personal, non- commercial use. The Company Website is protected by copyright, and the copyright to materials displayed therein is owned by Company or such other party as may be credited as the provider of the content. You will abide by any and all additional copyright notices, information, or restrictions contained in any content on the Company Website. You may download and copy downloadable items displayed on this Company Website for personal, noncommercial use only, provided that you maintain all copyright and other notices contained in such content.

3. Before making copies of downloadable items, you will destroy existing copies of such items in your possession or control. You agree that you may not store or maintain more than one copy of any of the contents of this site at any given time. Copying, storing, reproducing, distributing or publishing of any content for other than personal, noncommercial use is expressly prohibited without the prior written permission from Company or the copyright holder identified in the individual Contents copyright notice. You are expressly prohibited from framing or linking or otherwise using or displaying the Company Website in such a manner so that it appears to be part of your own or someone else's website. To the maximum extent that such prohibitions are permitted by law, you shall not deep link to any page on the Company Website or otherwise link to the Company Website in a manner that bypasses the Company Website home page.

4. The Company Website may contain links and pointers to the other Internet sites, resources, and sponsors of the Company Website. Links to and from Company Website to other third party sites, maintained by third parties, do not constitute an endorsement by Company or by any of its subsidiaries or affiliates of any third party resources, or their contents. FURTHER, COMPANY AND ITS SUBSIDIARIES AND AFFILIATES DISCLAIM ANY EXPRESS OR IMPLIED WARRANTIES FOR THE COMPANY WEBSITE, INCLUDING, WITHOUT LIMITATION, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. COMPANY DOES NOT WARRANT AND EXPRESSLY DISCLAIMS ANY WARRANTY THAT THE COMPANY WEBSITE OR ANY MATERIALS OR CONTENT CONTAINED THEREIN WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE COMPANY WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. COMPANY AND ITS SUBSIDIARIES AND AFFILIATES SHALL NOT BE LIABLE FOR THE USE OF THE COMPANY WEBSITE, INCLUDING, WITHOUT LIMITATION, THE CONTENT AND ANY ERRORS CONTAINED THEREIN.

6. TO THE MAXIMUM EXTENT AUTHORIZED BY LAW, COMPANY WILL NOT BE RESPONSIBLE TO YOU OR ANY THIRD PARTIES UNDER ANY CIRCUMSTANCES FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES OR FOR LOSSES WHICH YOU MAY INCUR IN CONNECTION WITH THE COMPANY'S WEBSITE OR THE INTERNET GENERALLY, OR YOUR USE THEREOF, OR IN CONNECTION WITH ANY OF THE DATA OR OTHER MATERIALS TRANSMITTED THROUGH OR RESIDING ON THE COMPANY'S WEBSITE, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGE OR LOSS. YOU UNDERSTAND THAT, TO THE MAXIMUM EXTENT AUTHORIZED BY LAW, YOUR SOLE AND EXCLUSIVE REMEDY AGAINST THE COMPANY WILL BE TO DISCONTINUE USING THE COMPANY WEBSITE.

7. THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF ILLINOIS, WITHOUT REGARD TO CONFLICTS OF LAWS PROVISIONS. The parties agree, that in any action arising out of this Agreement or relating to the operation of the Company's Website or content appearing therein, they irrevocably submit to the jurisdiction of the Circuit Court of DuPage County Illinois or the United States District Court for the Northern District of Illinois and, to the maximum extent permitted by law, agree that either of the courts shall be the venue of choice for any such action. In any action to enforce this agreement, the prevailing party will be entitled to costs and attorneys fees. Without limiting the effect of any disclaimer contained herein, any cause of action you may have with respect to your use of the Company Website must be commenced within one (1) year after the claim or cause of action arises.

8. This Agreement constitutes the entire agreement between Company and you with respect to your use of the company Website. If for any reason a court of competent jurisdiction finds any provision of the Agreement, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the Agreement, and the remainder of this Agreement shall continue in full force and effect.

9. In the event that any of the provisions of this agreement are held to be unenforceable, such provision shall be limited or eliminated to the minimum extent necessary to this agreement shall otherwise remain in full force and effect.

10. TRADEMARKS. ProofSpace, ProofMark, ProofMark Lite and ProofMark UltraLite and/or other ProofSpace products referenced herein are either trademarks or registered trademarks of ProofSpace. Names of actual companies and products mentioned herein may be the trademarks of their respective owners

Privacy Policy

Our Commitment to Privacy ProofSpace, Inc. respects the privacy of users on the Internet and has developed this privacy policy to protect user privacy on its Website. The purpose of this policy is to explain the types of information ProofSpace, Inc. obtains about users of the ProofSpace, Inc. website, how the information is obtained, how it is used, how it may be disclosed to others, and how users can restrict its use or disclosure. Should ProofSpace, Inc. modify its practices regarding the collection or use of information obtained from users in the future, this privacy policy will be amended to reflect such modifications.

You may also contact us if you do not wish to receive further contacts from ProofSpace, Inc.
